Chemistry offers this website, including all information, tools, classes, and services available from this site, to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site, booking a class, or purchasing a class pack or session from us, you engage in our Service and agree to be bound by these Terms and Conditions (“Terms”), including any additional terms, policies, and notices referenced here or available by hyperlink.

Please read these Terms carefully before using our website or booking any class or session. If you do not agree to all of these Terms, you may not access the website or use any of our services.

We reserve the right to update, change, or replace any part of these Terms by posting updates to this page. It is your responsibility to check this page periodically. Your continued use of the website or our services following the posting of any changes constitutes acceptance of those changes.

Section 1 — Eligibility

By agreeing to these Terms, you represent that you are at least 18 years of age, or that you have the consent of a parent or legal guardian who has agreed to these Terms on your behalf and signed our liability waiver.

You may not use our website or services for any illegal or unauthorized purpose, and you may not violate any laws in your jurisdiction in connection with your use of the Service.

Section 2 — Health, Safety, and Assumption of Risk

Physical exercise carries inherent risk of injury. Pilates, strength training, and other physical activity offered by Chemistry involve risk including, without limitation, muscle strain, sprains, joint injury, falls, cardiovascular events, and in rare cases serious injury or death.

By booking or participating in any class or session, you acknowledge and voluntarily assume all such risks.

Pregnancy and postpartum: If you are pregnant, recently postpartum, or have a pregnancy-related condition, you must obtain written clearance from your healthcare provider before participating, and you must notify your instructor.

Chemistry is not a medical provider. Nothing on this website or communicated during a class or session constitutes medical advice, diagnosis, treatment, or physical therapy. Instruction is educational and fitness-related only.

A separate liability waiver and release must be signed before your first class or session. These Terms do not replace that waiver.

Section 3 — Booking, Class Packs, and Expiry

All classes and sessions must be booked in advance through our booking system.

Class packs are sold as a set number of credits redeemable across any class format we offer, subject to availability and class capacity limits.

Expiry: Class packs expire on the terms stated at the time of purchase. Expiry begins on the date of purchase, not the date of first use. Expired credits have no value and are not refundable, transferable, or extendable except at our sole discretion.

Capacity: Group classes are capped. Booking a class does not guarantee a spot until the booking is confirmed.

Transferability: Class packs and sessions are non-transferable and may be used only by the individual who purchased them, unless we agree otherwise in writing.

Section 4 — Cancellation, Late Cancellation, and No-Shows

You may cancel a booked class without penalty up to 12 hours before the scheduled start time. Cancelling within that window, or failing to attend a booked class, results in the forfeiture of that class credit.

Late cancellation and no-show fees. In addition to the forfeited credit, the following fees apply:

By booking a class you agree to these fees. We may charge them to the payment method you used to purchase your credits, or invoice you for them, and outstanding fees must be settled before you can book again.

Late arrivals may be denied entry at the instructor’s discretion, for the safety of the participant and to avoid disrupting the class. A denied entry due to late arrival is treated as a no-show.

We may waive a fee at our discretion, including for illness, injury, or emergency.

We reserve the right to cancel or reschedule any class. If we cancel a class, any credit used for that booking will be returned to your account.

Section 5 — Pricing, Payment, and Refunds

Prices are subject to change without notice. Prices in effect at the time of your purchase apply to that purchase.

All sales of class packs, drop-in classes, private sessions, and promotional offers are final and non-refundable, except where required by law or at our sole discretion.

Promotional offers, including introductory and launch offers, are valid only for the period stated, apply only to the specific products described, cannot be combined with other offers unless stated, and may be modified or withdrawn at any time.

You agree to provide current, complete, and accurate payment and account information, and to keep that information up to date.

We reserve the right to refuse service, refuse or cancel any booking, and limit or cancel quantities purchased, at our sole discretion.

Section 6 — Conduct and Studio Policies

You agree to follow all studio rules, instructor directions, and safety guidance while on the premises.

We reserve the right to refuse service to, or remove from the premises, any person whose conduct is unsafe, disruptive, harassing, discriminatory, or otherwise inappropriate, without refund.

Personal property is brought onto the premises at your own risk. We are not responsible for lost, stolen, or damaged personal property.

Section 7 — Photography and Media

We may photograph or record classes, sessions, and events for marketing, social media, and educational purposes.

If you do not wish to appear in any photograph or recording, you must notify us in writing before the class or session begins, and we will make reasonable efforts to exclude you from any capture.

Where you have not opted out, you grant us a non-exclusive, royalty-free, perpetual license to use your likeness in such materials without compensation.

You may not photograph or record other participants without their express consent.

Section 8 — Personal Information

Your submission of personal information through this website and our booking system is governed by our Privacy Policy.

Section 9 — Accuracy of Information

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions. Any reliance on the material on this site is at your own risk.

Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions relating to class descriptions, schedules, pricing, promotions, or availability. We reserve the right to correct any such errors and to change or update information, including after a booking has been made.

All content on this website, including text, class names and programming, branding, logos, photographs, and design, is the property of Chemistry and is protected by applicable intellectual property law.

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service or any content on this website without our express written permission.

Our website and booking process may include links to, or tools provided by, third parties over which we have no control.

We provide access to such tools and links as is, without warranties of any kind and without endorsement. We are not responsible for the content, accuracy, policies, or practices of any third-party website or service, and we are not liable for any harm arising from your use of them.

Section 12 — Prohibited Uses

In addition to other prohibitions set out in these Terms, you are prohibited from using the site or its content: for any unlawful purpose; to solicit others to perform unlawful acts; to violate any regulations, rules, or laws; to infringe our intellectual property rights or those of others; to harass, abuse, insult, harm, defame, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; to submit false or misleading information; to upload viruses or malicious code; to collect or track the personal information of others; to spam, phish, crawl, or scrape; for any obscene or immoral purpose; or to interfere with the security features of the Service.

We reserve the right to terminate your use of the Service for violating any prohibited use.

Section 13 — Disclaimer of Warranties and Limitation of Liability

We do not guarantee that your use of our website or services will be uninterrupted, timely, secure, or error-free. We do not warrant that any particular fitness, health, or body composition result will be obtained from participation.

Our website and services are provided as is and as available, without any representation, warranties, or conditions of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, in no case shall Celis Collective LLC, its owners, instructors, employees, contractors, agents, or service providers be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the website, participation in any class or session, or any other matter relating to the Service.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in those jurisdictions our liability shall be limited to the maximum extent permitted by law.

Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under California law.

Section 14 — Indemnification

You agree to indemnify, defend, and hold harmless Celis Collective LLC and its owners, instructors, employees, contractors, agents, and service providers from any claim or demand, including reasonable attorneys’ fees, made by any third party arising out of your breach of these Terms, your violation of any law, or your violation of the rights of a third party.

Section 15 — Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be severed. Such a determination shall not affect the validity and enforceability of the remaining provisions.

Section 16 — Termination

The obligations and liabilities of the parties incurred prior to termination shall survive termination of this agreement for all purposes.

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our services, or by ceasing to use our site.

If in our sole judgment you fail to comply with any term or provision of these Terms, we may terminate this agreement at any time without notice. You will remain liable for all amounts due up to and including the date of termination, and we may deny you access to our services.

Section 17 — Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and any liability waiver you have signed, constitute the entire agreement between you and us and govern your use of the Service, superseding any prior agreements, communications, and proposals.

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute shall be brought in the state or federal courts located in San Diego County, California.
